Payment terms will be specified in individual service agreements. Unless otherwise stated, payment is due within 30 days of invoice date. Late payments may incur interest charges as permitted by law.
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives the termination of services.
We warrant that our services will be performed in a professional and workmanlike manner. However, except as expressly stated in a service agreement, our services are provided "as is" without warranties of any kind, either express or implied.
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to our services. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.
You agree to indemnify and hold harmless the Company from any claims, damages, losses, or expenses arising from your use of our services or violation of these terms.
These terms remain in effect until terminated. Either party may terminate a service agreement according to its terms. Upon termination, you must cease using our services and return or destroy any confidential materials.
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.
These terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes shall be resolved in the courts of Guangzhou, China.
We reserve the right to modify these terms at any time. We will notify you of significant changes. Your continued use of our services after such modifications constitutes acceptance of the updated terms.
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
These terms, together with any service agreements, constitute the entire agreement between you and the Company regarding our services and supersede all prior agreements and understandings.
